Terms of Service

1. What Is MyCarHQ?

MyCarHQ lets vehicle owners create an account, view their vehicle's service history, see upcoming manufacturer-recommended maintenance, receive offers from their auto repair shop, and message their shop directly. MyCarHQ is a technology platform. We do not inspect, diagnose, repair, or service vehicles, and we are not a party to any agreement between you and a repair shop.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Your Account

You agree to provide accurate, current, and complete information when you register and to keep it up to date. You are responsible for keeping your password confidential and for all activity that occurs under your account. If you sign in using a third-party provider (such as Google), you are also responsible for the security of that account.

Notify us promptly at webmaster@mycarhq.com if you suspect unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account that results from your failure to keep your credentials secure.

4. Repair Shops and Their Services

Repair shops that use MyCarHQ are independent businesses and are not employees, agents, or partners of KeyMotive LLC. Any repair, maintenance, inspection, purchase, warranty, or other transaction is solely between you and the shop. We do not endorse, guarantee, or take responsibility for the quality, safety, legality, timeliness, or pricing of any shop's work or products.

Any dispute about a shop's services must be resolved directly with that shop. Shops that use MyCarHQ are also bound by separate agreements with us.

5. Vehicle, Service, and Maintenance Information

Service history shown in MyCarHQ may be entered by you, by your repair shop, or derived from third-party data sources. We do not verify it and do not guarantee that it is accurate, complete, or current.

Upcoming maintenance recommendations are based on general manufacturer schedules and the information available to us. They are provided for informational purposes only and are not a substitute for your vehicle owner's manual, a professional inspection, or the advice of a qualified technician. Your actual maintenance needs may differ based on driving conditions, vehicle condition, recalls, and other factors. You are responsible for decisions about maintaining and operating your vehicle.

MyCarHQ is not a vehicle-history report and should not be relied on when buying or selling a vehicle.

6. Offers and Promotions

Coupons, specials, and other offers you receive through MyCarHQ are made by the repair shop, not by us. Each offer is subject to the terms, expiration dates, and restrictions set by the shop, and the shop alone is responsible for honoring it. Offers have no cash value unless the shop states otherwise, and may be void where prohibited.

7. Messages and Your Content

You retain ownership of messages, vehicle details, and other content you submit ("Your Content"). You grant KeyMotive LLC a non-exclusive, worldwide, royalty-free license to host, store, copy, display, and transmit Your Content solely to operate, maintain, and improve the Services — for example, delivering your messages to your shop and showing your service history.

You are responsible for Your Content and represent that you have the right to submit it. Messaging is not monitored in real time and is not intended for emergencies. For roadside emergencies or safety issues, contact emergency services or your roadside-assistance provider directly.

8. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose.
• Harass, threaten, or abuse any repair shop, its staff, or other users.
• Submit false information, impersonate another person, or access another person's account without permission.
• Send spam, malware, or unsolicited advertising through the Services.
• Attempt to probe, scan, or test the vulnerability of the Services, or bypass any security or access control.
• Scrape, crawl, or use automated means to access the Services, except as we expressly permit.
• Copy, modify, reverse engineer, resell, or create derivative works of the Services.
• Interfere with or disrupt the Services or the servers and networks that run them.

9. Emails and Communications

By creating an account, you agree to receive transactional and administrative messages from us, such as account confirmations, password resets, security notices, and updates to these Terms. You may also receive service reminders and promotional offers on behalf of your repair shop. You can unsubscribe from promotional emails at any time using the link in the email; you will continue to receive essential account messages while your account is active.

10. Intellectual Property

The Services, including their software, design, text, graphics, logos, and the MyCarHQ name, are owned by KeyMotive LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved.

If you send us feedback or suggestions, we may use them without any obligation to you.

11. Third-Party Services and Links

The Services may link to or integrate with third-party websites and services, such as your repair shop's own website or a third-party sign-in provider. We do not control and are not responsible for their content, policies, or practices. Your use of them is governed by their own terms.

12. Suspension and Termination

You may stop using the Services and request that your account be closed at any time by contacting us at webmaster@mycarhq.com. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Services.

Provisions that by their nature should survive termination — including Sections 5, 10, and 13 through 17 — will survive. Your repair shop may retain its own copy of your service records after your account is closed, as described in our Privacy Policy.

13. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION PROVIDED THROUGH THEM IS ACCURATE OR RELIABLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, KEYMOTIVE LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, OR FOR ANY VEHICLE DAMAGE, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING FROM (A) YOUR USE OF OR RELIANCE ON THE SERVICES, INCLUDING MAINTENANCE RECOMMENDATIONS OR SERVICE HISTORY; (B) ANY REPAIR SHOP'S SERVICES, PRODUCTS, OR OFFERS; OR (C) ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless KeyMotive LLC and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, or your violation of these Terms or any law.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us at webmaster@mycarhq.com and try to resolve the dispute informally for at least 30 days.

Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Wayne County, Michigan, and you and we consent to the personal jurisdiction of those courts. Either party may bring an individual claim in small-claims court if it qualifies.

16. Changes to These Terms

We may revise these Terms from time to time. The updated version will be indicated by a revised "Last updated" date. If we make material changes, we will notify you by posting a notice in the Services or by email before the changes take effect. Your continued use of the Services after changes take effect means you accept the revised Terms.

17. General Terms

These Terms and our Privacy Policy are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
